Explanation:

Shelf prospectus means a prospectus in respect of which the securities or class of securities included therein are issued for subscription in one or more issues over a certain period without the issue of further prospectus. As per Section 31, any class of company/(s) need not file a fresh prospectus as and when it makes any issue of securities during the validity period of prospectus. The validity period of shelf prospectus is one year from the date of opening of first issue of securities under that prospectus.
