As per section 175 of Companies Act, Board Resolution can be passed by circulation if:

A draft of such resolution shall be circulated to all directors at their registered address in India.

Such resolution is required to be approved by majority of Directors entitled to vote.

Resolution if passed shall be noted at the subsequent board meeting.

Atleast 1/3 ^rd of total directors can object such resolution by circulation and can demand board meeting.
